General Terms and Conditions of Sale

This website, www.pepinplantcare.com (the “Site”), is operated by Pepin, a company with share capital of €2,500, registered with the Lille Métropole Trade and Companies Register under number B 902 887 876, whose registered office is at 15 avenue de Mont à Camp, 59160 Lille, and whose individual VAT identification number is FR41902887876 (hereinafter “Pepin”).

Article 1 – GENERAL PROVISIONS RELATING TO THESE TERMS AND CONDITIONS

These general terms and conditions of sale (the “General Terms and Conditions of Sale” or “Terms”) apply exclusively to the online sale of Products offered by Pepin on the Site.

The Terms and Conditions of Sale are available to Customers on the Site, where they may be viewed directly, and may also be provided on request by any means.

The Terms and Conditions of Sale are binding on the Customer, who acknowledges, by ticking a box or clicking the designated button, that they have read and accepted them before placing an order. By confirming an order, the Customer accepts the Terms and Conditions of Sale in force on the date of the order, a copy of which is retained and made available for reproduction by Pepin.

Article 2 – PRODUCT DESCRIPTIONS

The Site is an online store selling Products and is open to any individual or legal entity using it (the “Customer”).

Each Product displayed on the Site has a description setting out its essential characteristics. Any photographs illustrating the Products are not contractually binding. If instructions for using a Product are essential, they are provided on the Site or, at the latest, upon delivery. The Products comply with the requirements of applicable French law.

The Customer remains responsible for how they access the Site and for any consequences of doing so, including access via the internet. Access may involve charges from technical service providers, including internet service providers, which are payable by the Customer. The Customer must also provide, and is entirely responsible for, the equipment needed to connect to the Site.

The Customer acknowledges that they have checked that the computer equipment they use is secure and in working order.

Article 3 – CREATING A CUSTOMER ACCOUNT

To place an order on the Site, the Customer must first create a personal customer account. Once the account has been created, the Customer must log in using their username and their personal, confidential password. The Customer must not disclose their username or password, in accordance with the PERSONAL DATA section of these Terms and Conditions. Each Customer undertakes to keep strictly confidential the details that allow access to their customer account, in particular their username and password. The Customer acknowledges that they alone are responsible for access to the Service using their username and password, except in cases of proven fraud. Each Customer also undertakes to notify Pepin without delay if their username and/or password is lost, misappropriated or used fraudulently.

After creating their personal Customer account, the Customer will receive an email confirming that the account has been created.

When registering, the Customer undertakes to:

  • provide true, accurate and up-to-date information when completing the registration form for the service and, in particular, refrain from using false names or addresses, or names or addresses they are not authorised to use.
  • keep registration details up to date to ensure they remain true, accurate and current at all times.

The Client also undertakes not to make available or distribute unlawful or objectionable information (such as defamatory information or information constituting identity theft), or harmful material (such as viruses). Otherwise, Pepin may suspend or terminate the Client’s access to the Site, with the Client bearing sole responsibility for that suspension or termination.

Article 4 – ORDERS

Pepin endeavours to keep its Products available. Product offers are valid while stocks last.

If, despite Pepin’s best efforts, a Product becomes unavailable after the Client has placed an order, Pepin will inform the Client by email as soon as possible, and the Client may choose between:

  • delivery of a Product of equivalent quality and price to the one originally ordered, or
  • a refund of the price of the Product ordered no later than thirty (30) days after payment of the sums already paid.

It is agreed that, apart from refunding the price of the unavailable Product if the Client requests this option, Pepin is not liable to pay any compensation for cancellation unless the failure to perform the contract is attributable to Pepin.

Unless otherwise stated in these General Terms and Conditions of Sale, and without prejudice to the statutory right of withdrawal, the Client’s orders are firm and final.

When placing an order, the Customer must select the Products they wish to purchase and add them to their basket, specifying the Products and quantities required. Before confirming the order, the Customer may review its details and total price and return to previous pages to correct the contents of their basket if necessary.

The Customer undertakes to read the Terms and Conditions of Sale then in force before accepting them and, before paying for their order, to confirm the delivery arrangements and any delivery or withdrawal costs. Confirmation of the order constitutes acceptance of the Terms and Conditions of Sale and forms the contract.

A copy of these Terms and Conditions as accepted by the Customer will be emailed to them when their Order is confirmed, so that they may refer to it later.

The contractual information relating to the order, including the order number, will be confirmed by email in due course and no later than the time of delivery. Pepin strongly advises the Customer to print and/or save this order confirmation on a reliable, durable medium as proof of purchase. A digital invoice is available to the Customer in the “My Account” area. Pepin also advises the Customer to print and/or save this invoice on a reliable, durable medium as proof of purchase.

Any email sent to the Client in connection with an order will be sent to the email address the Client uses to sign in to their customer account.

Pepin reserves the right to decline to accept the Client’s order for any legitimate reason, including where:

  • the Client has not complied with the General Terms and Conditions of Sale in force when the order was placed;
  • The Customer’s order history shows outstanding amounts due for previous orders;
  • One of the Customer’s previous orders is the subject of an ongoing dispute;
  • the Client has not responded to a request from Pepin to confirm their order.

Pepin retains copies of contracts for the sale of Products in accordance with applicable law. Upon request by email to bonjour@pepinplantcare.com, Pepin will provide the Customer with a copy of the contract concerned.

Any change the Customer wishes to make to an order after confirmation is subject to Pepin’s agreement.

The Customer is responsible for the information they provide when placing an order, particularly their name and delivery address. Pepin shall therefore not be liable if an error made when placing the order prevents or delays delivery.

The Customer declares that they have full legal capacity to enter into these Terms and Conditions.

Registration is open to adults with legal capacity and to minors provided they act under the supervision of a parent or guardian with parental responsibility. Registration on behalf of a third party is not permitted unless the person registering is duly authorised to represent that party, such as a legal entity. Registration is strictly personal to each Customer.

If the Customer breaches any provision of these Terms and Conditions, Pepin reserves the right to close their account without notice.

Article 5 – PAYMENT METHODS AND SECURITY

The Client expressly acknowledges that every order placed on the Site entails an obligation to pay the price of the Product ordered.

In all cases, Pepin reserves the right to verify the validity of payment by any necessary means before dispatching the order.

Pepin uses the online payment services Stripe and Paypal.

Orders may be paid for using one of the following payment methods:

  • Payment by bank card. Payment is made directly through the secure servers of Pepin’s bank; the Client’s bank card details do not pass through the Site. Bank card details provided during payment are protected by SSL (Secure Socket Layer) encryption. They are therefore not accessible to third parties.

The Customer’s order is recorded and confirmed as soon as the bank accepts payment.

The Customer’s account will be debited for the corresponding amount only once (i) the payment card details have been verified and (ii) the card-issuing bank has authorised the charge.

If the amounts due cannot be debited, the sale will be immediately void.

A payment card may be declined if it has expired, the Customer’s spending limit has been reached or the details entered are incorrect.

  • Payment by digital wallet (such as Paypal). The Customer already has an account with the digital wallet used by Pepin. They may use this account to pay for their order securely without providing their bank details.
  • Payment by bank transfer. The Customer may pay for their order by bank transfer. When the order is placed, Pepin will provide the account details for the transfer and the order reference to include in the transfer instructions. Orders are processed within a maximum of 48 hours after the transfer is received.

Where applicable, an order confirmed by the Client will take effect only once the secure bank payment provider has authorised the transaction.

As part of its verification procedures, Pepin may ask the Customer for any documents needed to complete their order. These documents will not be used for any other purpose.

Article 6 – PAYMENT OF THE PRICE

The prices of Products in force when the order is placed are stated in euros inclusive of all taxes (TTC), excluding delivery and transport charges. In the event of a promotion, Pepin undertakes to apply the promotional price to all orders placed during the period for which the promotion is advertised.

Payment may be made exclusively in euros (£). The full price is payable once the order has been confirmed. The prices offered include any discounts and rebates that Pepin may grant.

Any delivery or transport charges will be added to the price of the Products and shown separately before the Customer confirms the order. The total amount payable by the Customer, together with a breakdown, is shown on the order confirmation page.

Article 7 – FORMATION OF THE CONTRACT

The contract between Pepin and the Client is formed when the Client submits confirmation of their order.

The Client’s attention is drawn in particular to the procedure for accepting an order placed on the Site. When placing an order, the Client must confirm it using the “double-click” procedure. After selecting Products and adding them to the basket, the Client must review and, if necessary, correct the contents of the basket (identification details, quantities of Products selected, prices, delivery methods and charges) before confirming it by clicking “Confirm my delivery”. The Client then acknowledges acceptance of these General Terms and Conditions of Sale before clicking “Pay” and finally confirms the order after entering their bank card details. The “double-click” constitutes an electronic signature and is equivalent to a handwritten signature. It constitutes the Client’s irrevocable and unconditional acceptance of the order.

Pepin archives communications, order forms and invoices on a reliable, durable medium so as to maintain faithful, lasting copies. These communications, order forms and invoices may be produced as evidence of the contract. Unless proven otherwise, data recorded by Pepin online or by telephone constitutes evidence of all transactions between Pepin and its Customers.

The Customer may cancel the order by recorded delivery letter with acknowledgement of receipt, or in writing on another durable medium, in the event of:

  • where a delivered Product does not conform to its stated specifications;
  • delivery after the deadline stated on the order form or, if no deadline is stated, more than thirty (30) days after the contract was concluded, where Pepin has been requested by the same means to deliver within a further reasonable period but has failed to do so;
  • for a price increase not justified by a technical modification to the Product required by the public authorities.

In all these cases, the Customer may require repayment of the deposit paid, together with interest at the statutory rate calculated from the date the deposit was received.

Pepin may cancel the order in the event of:

  • where the buyer refuses to accept delivery;
  • non-payment of the price, or the balance of the price, at the time of delivery.

Article 8 – RETENTION OF TITLE

Pepin retains exclusive ownership of Products ordered on the Site until the full price, including any delivery charges, has been received.

Article 9 – DISPATCH AND DELIVERY

The online offers for sale displayed on the Site are available only to consumers resident in France or, where applicable, another Member State of the European Union, for delivery within those same areas.

Delivery occurs when physical possession or control of the Product is transferred to the Customer.

Pepin offers different delivery methods depending on the nature of the Product: home delivery or delivery to a pickup point.

Delivery charges are specified at checkout and are accepted when the order is confirmed.

Pepin undertakes to deliver the Products by the delivery deadline stated on the Site for each Product and, in any event, within thirty (30) days of receiving the order.

Delivery times are stated in working days on the Site when the order is placed. They include the time needed to prepare and dispatch the order and the delivery time estimated by the carrier.

Pepin undertakes to dispatch the Products within the timeframes stated on each Product page and in the basket, provided payment for the order has not been declined.

If one or more Products cannot be delivered within the timeframe originally stated, Pepin will email the Customer with a new delivery date.

Products will be delivered to the address provided by the Customer when placing the order. The Customer is responsible for checking that the address is correct. Pepin shall not be liable if an incorrect address supplied by the Customer prevents or delays delivery.

You may be asked to sign a receipt on delivery.

No deliveries will be made to a PO box.

On delivery, the Customer must check that the Products received match their order and that the parcel is sealed and undamaged. If this is not the case, the Customer must note it on the delivery receipt. No claim concerning the quantity or condition of a Product will be accepted unless it has been noted on the delivery receipt.

Article 10 – RIGHT OF WITHDRAWAL

If a delivered Product does not fully satisfy the Customer, they may return it to Pepin. The Customer has fourteen (14) days from receipt of the order to do so.

In accordance with Article L.221-21 of the French Consumer Code, a Customer wishing to exercise their right of withdrawal under Articles L. 221-18 et seq. of the French Consumer Code must notify the Seller by post or email using the contact details given in Article 1 of the Terms and Conditions of Sale.

Pepin will acknowledge receipt of the Client’s withdrawal request by email.

Where applicable, the Client may exercise their right of withdrawal by notifying Pepin of the following information:

  • name, postal address, telephone number and email address;
  • decision to withdraw by means of an unequivocal statement (for example, a letter sent by post, fax or email, provided these contact details are available and therefore appear on the standard withdrawal form). The Client may use the standard withdrawal form but is not required to do so.

The Customer is responsible for return costs unless the goods cannot normally be returned by post, in which case Pepin will collect the Product at its own expense.

The exceptions in Article L.221-28 of the French Consumer Code apply and prevent the exercise of the right of withdrawal, in particular where the order concerns a contract:

  • for the provision of services fully performed before the end of the withdrawal period, where performance began with the consumer’s prior express consent and express acknowledgement that they waive their right of withdrawal;
  • for the supply of goods or services whose price depends on fluctuations in the financial market beyond the trader’s control that may occur during the withdrawal period;
  • for the supply of goods made to the consumer’s specifications or clearly personalised;
  • for the supply of goods liable to deteriorate or expire rapidly;
  • for the supply of goods unsealed by the consumer after delivery that cannot be returned for reasons of hygiene or health protection;
  • for the supply of goods which, after delivery, become inseparably mixed with other items by their nature;
  • for the supply of alcoholic beverages whose delivery is deferred for more than thirty (30) days and whose agreed value at the time the contract is concluded depends on market fluctuations beyond the trader’s control;
  • for urgent maintenance or repair work at the consumer’s home expressly requested by the consumer, limited to the replacement parts and work strictly necessary to deal with the emergency;
  • for the supply of audio or video recordings or computer software unsealed by the consumer after delivery;
  • for the supply of a newspaper, periodical or magazine, except under a subscription contract for such publications;
  • concluded at a public auction;
  • for the provision of accommodation services other than residential accommodation, goods transport services, car hire, catering or leisure activities to be provided on a specified date or during a specified period;
  • for the supply of digital content not supplied on a tangible medium, where supply has begun with the consumer’s prior express consent and express acknowledgement that they waive their right of withdrawal.

A returned Product must be in its original packaging, in perfect condition, suitable for resale, unused and accompanied by any accessories.

In addition to the returned Product, the return parcel must contain a letter giving the Client’s full and accurate contact details (surname, first name and address), the order number and the original purchase invoice.

Pepin will refund the Client the price of the Product within fourteen (14) days of receiving the Product and all information needed to process the refund. The refund may be made using the same payment method the Client used. Where the Client paid for the order with store credit or gift vouchers, Pepin may, at its discretion, issue the refund as store credit or gift vouchers.

By accepting these Terms and Conditions of Sale, the Customer expressly acknowledges that they have been informed of the procedure for exercising their right of withdrawal.

Article 11 – CUSTOMER SERVICE

The Customer may contact Pepin:

  • on 0613504731 during the following opening hours: Monday to Friday, 9 am to 5 pm.
  • by emailing bonjour@pepinplantcare.com, stating their name, telephone number, the subject of their enquiry and the relevant order number.

Article 12 – INTELLECTUAL PROPERTY AND LICENCE TO USE THE SITE

Pepin is the sole owner of all elements appearing on the Site, including, without limitation, all text, files, still or animated images, photographs, videos, logos, drawings, designs, software, trade marks, visual identity, databases, the Site’s structure and all other intellectual property, data and information (the “Elements ”), which are protected by French and international laws and regulations, particularly those relating to intellectual property.

Accordingly, no Element of the Site may, in whole or in part, be modified, reproduced, copied, duplicated, sold, resold, transmitted, published, communicated, distributed, disseminated, displayed, stored, used, rented or otherwise exploited, whether free of charge or for payment, by a Client or third party, by any means or on any medium, whether currently known or developed in the future, without Pepin’s prior express written permission in each case. The Client is solely responsible for any unauthorised use and/or exploitation.

Pepin does not own content uploaded by Customers. Customers remain fully responsible for that content and shall indemnify the Company against any claims arising from it. Customers grant Pepin a non-exclusive, transferable, sublicensable, royalty-free, worldwide licence to use the intellectual property content they publish on the Site for the full term of its protection.

Pepin reserves the right to pursue any legal remedies against persons who fail to comply with the prohibitions set out in this article.

ARTICLE 13 – LIABILITY AND GUARANTEES

Pepin shall not be liable for any failure to perform the contract caused by the Customer, an event classified as force majeure by the competent courts, or an unforeseeable and unavoidable act of a third party to these Terms and Conditions.

Pepin shall not be liable for information uploaded, stored or published on the Site by Customers. Pepin shall not be liable for information published on the Site by a Customer or for any direct or indirect loss it may cause a third party; the Customer who published the information remains solely responsible.

The Client acknowledges that the nature and limitations of the internet mean that the security, availability and integrity of data transmitted over it cannot be guaranteed. Accordingly, Pepin does not guarantee that the Site and its services will operate without interruption or errors. In particular, their operation may be temporarily interrupted for maintenance, updates or technical improvements, or to change their content and/or presentation.

Pepin shall not be liable for any use of the Site or its services by Clients in breach of these General Terms and Conditions of Sale, or for any direct or indirect loss that such use may cause to a Client or a third party. In particular, Pepin shall not be liable for false statements made by a Client or for a Client’s conduct towards third parties. If Pepin is held liable as a result of such conduct by a Client, that Client undertakes to indemnify Pepin against any judgment entered against it and to reimburse Pepin for all costs incurred in its defence, including legal fees.

The Customer is solely responsible for all content they upload to the Site. The Customer expressly declares that they hold all necessary rights to that content and warrants to Pepin that they will not upload content that infringes third-party rights, including intellectual property rights, or that harms individuals, including through defamation or insults, infringes privacy, or breaches public order or accepted standards of morality, including by glorifying crimes against humanity, inciting racial hatred or depicting child sexual abuse. If a Customer breaches applicable law, accepted standards of morality or these Terms and Conditions, Pepin may exclude that Customer as of right and remove information and links relating to the disputed content. Pepin acts as a hosting provider in respect of content uploaded by third parties. As such, Pepin has no general obligation to monitor content transmitted or stored through the Site. If a claim is brought against Pepin in connection with content uploaded by the Customer, the Customer undertakes to indemnify Pepin against any judgment entered against it and to reimburse Pepin for all costs incurred in its defence, including legal fees.

Regardless of any additional contractual warranty (commercial warranty) that may be offered, the Products benefit from the statutory guarantee of conformity provided for in Articles L. 217-4 et seq. of the French Consumer Code (in particular Articles L. 217-4 to L. 217-14), and the guarantee against hidden defects provided for in Articles 1641 to 1649 of the French Civil Code.

When you make a claim under the statutory guarantee of conformity:

  • you have two (2) years from delivery of the goods to bring a claim:
  • you may choose between repair and replacement of the goods, subject to the cost conditions set out in Article L. 217-9 of the French Consumer Code;
  • you do not have to prove that the lack of conformity existed at the time of delivery during the twenty-four (24) months following delivery of the goods, except in the case of second-hand goods.

You may make a claim under the guarantee against hidden defects in the goods sold, within the meaning of Article 1641 of the French Civil Code. In that case, you may choose to cancel the sale or obtain a reduction in the sale price, in accordance with Article 1644 of the French Civil Code.

Text of Articles L. 217-4, L. 217-5, L. 217-7, L. 217-9 and L. 217-12 of the French Consumer Code, and Articles 1641 and 1644 and the first paragraph of Article 1648 of the French Civil Code, as in force on the date of these General Terms and Conditions of Sale:

Article L.217-4 of the French Consumer Code:

“The seller shall deliver goods that conform to the contract and shall be liable for any lack of conformity existing at the time of delivery. The seller shall also be liable for any lack of conformity resulting from the packaging, assembly instructions or installation, where installation was the seller’s responsibility under the contract or was carried out under the seller’s responsibility.”

Article L.217-5 of the French Consumer Code:

« Goods conform to the contract:

1° If they are suitable for the purpose normally expected of similar goods and, where applicable:

– if it matches the description given by the seller and has the qualities presented to the buyer in a sample or model;

– if it has the qualities that a buyer may reasonably expect in light of public statements made by the seller, the producer or their representative, particularly in advertising or labelling;

2° Or if they have the characteristics agreed by the parties or are suitable for a particular purpose sought by the buyer, made known to the seller and accepted by the seller. »

Article L.217-7 of the French Consumer Code:

« Any lack of conformity that becomes apparent within twenty-four months of delivery of the goods is presumed to have existed at the time of delivery, unless proven otherwise.

For second-hand goods, this period is six months.

The seller may rebut this presumption if it is incompatible with the nature of the goods or the alleged lack of conformity. »

Article L.217-9 of the French Consumer Code:

« In the event of a lack of conformity, the buyer may choose between repair and replacement of the goods. However, the seller need not follow the buyer’s choice if it would entail a manifestly disproportionate cost compared with the alternative, taking into account the value of the goods and the significance of the defect. In that case, the seller must provide the alternative remedy unless this is impossible ».

Article L.217-12 of the French Consumer Code:

“Any claim arising from a lack of conformity must be brought within two years of delivery of the goods.”

Article 1641 of the French Civil Code:

« The seller is liable under the guarantee against hidden defects in the goods sold that render them unfit for their intended use or so substantially impair that use that the buyer would not have bought them, or would have paid a lower price, had they known of the defects. »

Article 1644 of the French Civil Code:

« In the cases referred to in Articles 1641 and 1643, the buyer may choose to return the goods and receive a refund of the price, or to keep the goods and receive a partial refund. »

Article 1648, first paragraph, of the French Civil Code:

“Any claim arising from a defect giving grounds for rescission must be brought by the buyer within two years of discovering the defect.”

For the avoidance of doubt, seeking an amicable resolution before bringing legal proceedings does not suspend the time limits for claims under statutory guarantees or the term of any contractual warranty.

ARTICLE 14 – PERSONAL DATA

For further information about how Pepin uses personal data, please read the Privacy Policy, available here.

Article 15 – LINKS

Links on the Site may lead to third-party websites that are not operated by Pepin. They are provided solely for the Customer’s convenience, to make it easier to access resources available on the internet. If the Customer follows these links, they will leave the Site and use the third-party websites at their own risk or, where applicable, in accordance with the terms governing those websites.

The Customer acknowledges that Pepin neither controls nor contributes in any way to the terms of use or content of these third-party websites.

Accordingly, Pepin shall not be held liable in any way in connection with these links.

The Customer also acknowledges that Pepin does not endorse, guarantee or assume responsibility for any part of the terms of use or content of these third-party websites.

The Site may also contain promotional links and/or advertising banners leading to third-party websites not operated by Pepin.

Pepin asks the Customer to report any link on the Site that leads to a third-party website containing material contrary to the law and/or accepted standards of morality.

The Customer may not use or create a link to the Site without Pepin’s prior written consent in each case.

ARTICLE 16 – REFERENCES

The Customer authorises Pepin to use the Customer’s name and logo as a reference in its communications materials, including brochures, its website, business proposals, press relations, press releases, press kits and internal communications.

ARTICLE 17 – GENERAL PROVISIONS

ENTIRE AGREEMENT

These Terms and Conditions form a contract governing the relationship between the Customer and Pepin. They set out all the rights and obligations of the Company and Pepin in relation to their subject matter. If any provision of these Terms and Conditions is held invalid under any law or regulation or by a final decision of a court of competent jurisdiction, the remaining provisions shall remain in full force and effect. A party’s failure to enforce any provision of these Terms and Conditions following a breach by the other party shall not constitute a waiver of its right to enforce that provision in the event of a future breach.

CHANGES TO THE TERMS AND CONDITIONS

Pepin reserves the right, at any time and without notice, to change the content of the Site or the services available on it, and/or to cease operating all or part of the Site temporarily or permanently.

Pepin also reserves the right to change the Site’s location on the internet and to amend these Terms and Conditions at any time without notice. The Customer should therefore consult the Terms and Conditions before each use of the Site.

The Client acknowledges that Pepin shall not be liable to the Client or any third party in any way for such changes, suspensions or discontinuation.

Pepin advises the Client to save and/or print these General Terms and Conditions of Sale for secure, lasting reference, so that they can refer to them at any time during the performance of the contract if needed.

GOVERNING LAW

These Terms and Conditions are governed by, construed and applied in accordance with French law.

CLIENT’S ACCEPTANCE OF THE GENERAL TERMS AND CONDITIONS OF SALE

The Customer acknowledges that they have carefully read these Terms and Conditions.

By registering on the Site, the Client confirms that they have read and accepted the General Terms and Conditions of Sale and agrees to be contractually bound by them.

The General Terms and Conditions of Sale applicable to the Client are those available on the date of the order. A copy dated as of that date may be provided to the Client on request. Accordingly, any changes Pepin makes to the General Terms and Conditions of Sale will not apply to orders placed before those changes, unless the Client who placed the relevant order expressly agrees otherwise.
